By downloading, installing, or using 221b ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legally binding agreement between you and 221b ("we," "us," or "our").

2. License Grant

2.1 Free License

221b is currently offered free of charge ("until proved the opposite"). We grant you a personal, non-exclusive, non-transferable, revocable license to use the Software for both personal and commercial purposes.

2.2 License Restrictions

You may NOT:

• Redistribute, sell, lease, or sublicense the Software
• Reverse engineer, decompile, or disassemble the Software (unless expressly permitted by applicable law)
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software for illegal, malicious, or unauthorized purposes
• Use the Software to violate the privacy or rights of others

2.3 Future Pricing

We reserve the right to introduce paid features or subscriptions in the future. If we do, we will provide advance notice and these Terms will be updated accordingly. Existing users will be grandfathered under fair terms.

3. User Responsibilities

3.1 Lawful Use

221b is intended for legitimate development, debugging, and analysis purposes, such as:

• Debugging and analyzing your own applications
• Quality assurance and testing workflows
• Security research and testing with proper authorization
• Educational and academic purposes
• Privacy compliance and transparency audits
• Network forensics and session analysis

You must NOT use 221b for:

• Unauthorized access to systems or networks
• Malicious hacking or data theft
• Violating privacy laws or regulations
• Any illegal activities

3.2 Compliance with Laws

You are solely responsible for ensuring your use of 221b complies with all applicable local, state, national, and international laws and regulations, including but not limited to GDPR, CCPA, and other privacy laws.

4. Disclaimers

4.1 "AS IS" Basis

221b is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of results

4.2 No Guarantee of Results

We do not guarantee that 221b will:

• Capture all network traffic or browser events
• Provide complete forensic evidence for all use cases
• Meet your specific requirements
• Operate without errors or interruptions

4.3 Not Legal Advice

221b is a technical tool. It does NOT provide legal advice. Consult with a qualified attorney for legal compliance matters.

5. Limitation of Liability

To the maximum extent permitted by law, 221b and its developers shall NOT be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Software
• Unauthorized access to or alteration of your data
• Any third-party conduct or content

Our total liability shall not exceed the amount you paid for the Software (currently $0).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

6. Data Ownership and Privacy

6.1 Your Data

You retain all ownership rights to the data you create, record, or analyze using 221b. Since the Software operates on a local-first architecture, your session data remains on your device and is never transmitted to us.

6.2 No Cloud Storage

221b does not offer cloud backup or sync features. You are responsible for backing up your local data. We are not responsible for any data loss.

7. Termination

7.1 By You

You may stop using 221b at any time by uninstalling the Software from your device. No account termination is necessary as there are no user accounts.

7.2 By Us

We reserve the right to discontinue or modify 221b at any time without notice. However, since the Software operates locally, you may continue to use your downloaded version.

7.3 Effect of Termination

Upon termination, your license to use 221b ceases. However, your local data remains yours and is not affected.

8. Software Updates

We may release updates, bug fixes, or new versions of 221b from time to time. Updates may:

• Add new features
• Fix bugs or security vulnerabilities
• Modify or remove existing functionality

You are not required to install updates, but we strongly recommend doing so for security and performance improvements.

9. Intellectual Property

221b and all associated intellectual property rights remain the exclusive property of 221b. These Terms do not grant you any rights to our trademarks, logos, or branding.

If you provide feedback, suggestions, or ideas about 221b, we may use them without any obligation to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless 221b and its developers from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Software
• Your violation of these Terms
• Your violation of any laws or third-party rights

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where 221b is operated, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of 221b shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved in the courts of the applicable jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we do:

• We will update the "Last updated" date at the top
• Material changes will be communicated via email (if you're on our waitlist)
• Continued use of the Software after changes constitutes acceptance of the new Terms

If you do not agree to the updated Terms, you must stop using the Software.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 221Beacon regarding the Software and supersede all prior agreements and understandings.
